By accessing or using trade & tonic ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

trade & tonic is a financial education and market research platform. We are NOT a broker, trading platform, investment advisor, or financial service provider.

• Hold, transfer, or manage customer funds

3. Account Registration

3.1 Eligibility

You must:

• Be at least 18 years old

• Have legal capacity to enter into contracts

• Maintaining the confidentiality of your password

4. Subscription and Payment

4.1 Subscription Tiers

• Free Tier: 3 stock analyses per week

• Pro Tier: Unlimited analyses (paid subscription)

4.2 Billing

• Payments are processed by Paddle.com (our Merchant of Record)

• Subscriptions are billed monthly or annually

• Prices are displayed in EUR and may be subject to VAT

• Payment details are handled securely by Paddle

• We do NOT store your credit card information

4.3 Automatic Renewal

Paid subscriptions automatically renew unless canceled before the renewal date. You can cancel anytime through your account settings or customer portal.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes do not affect current subscription periods—only subsequent renewals.

4.5 Refunds

See our Refund Policy for details. Generally:

• 14-day money-back guarantee for new subscriptions

• No refunds for partial subscription periods after 14 days

• Free tier users: no refunds (free service)

You conduct all trades through your own separate brokerage account (e.g., Interactive Brokers, Fidelity, TD Ameritrade, etc.). We have no connection to your broker or your trading activity.

5.5 Not a Trading Platform

We do NOT:

• Execute, facilitate, or enable trades

• Provide order routing or trade execution

• Act as a trading platform or exchange

• Hold or transfer customer funds

• Provide margin, leverage, or credit

5.6 Regulatory Status

trade & tonic is not regulated as a financial service because we provide educational content and research tools only. We are not required to register with financial regulatory authorities.

6. Intellectual Property

6.1 Our Content

All content on trade & tonic is owned by us or our licensors:

• AI models and algorithms

• Platform design and code

• Analysis methodology

• Educational content and tutorials

• Trademarks and branding

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes only.

6.3 Prohibited Actions

You may NOT:

• Copy, reproduce, or redistribute our content

• Reverse engineer our AI models or algorithms

• Create derivative works based on our Service

• Use our content for commercial purposes

• Remove copyright or trademark notices

We make NO GUARANTEES about:

• Availability of the Service

• Third-party data accuracy

8.3 Third-Party Data

We aggregate data from third-party sources (market data providers, news APIs, etc.). We are not responsible for errors, delays, or omissions in third-party data.

8.4 System Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. The platform may be unavailable due to:

• Scheduled maintenance

• Technical issues

• Third-party service outages

• Force majeure events

9. Limitation of Liability

9.1 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR €100 IF YOU PAID NOTHING).

9.2 Excluded Damages

WE ARE NOT LIABLE FOR:

• Lost profits or revenue

• Data loss or corruption

• Indirect, incidental, or consequential damages

• Damages arising from third-party actions

• Unauthorized access to your account

9.3 Investment Losses

YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY FINANCIAL LOSSES YOU MAY INCUR FROM TRADING OR INVESTING BASED ON INFORMATION FROM OUR PLATFORM.

10. Indemnification

You agree to indemnify and hold harmless trade & tonic, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service

• Your investment decisions

• Your violation of these Terms

• Your violation of applicable laws

• Infringement of third-party rights

11. Termination

11.1 By You

You may close your account at any time through account settings. Paid subscriptions will remain active until the end of the current billing period.

11.2 By Us

We may suspend or terminate your account if:

• You violate these Terms

• You engage in fraudulent activity

• Required by law or legal process

• Continued operation would create risk

11.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately

• We may delete your account data (subject to legal retention requirements)

• No refunds for partial subscription periods (unless required by law)

• Sections that should survive termination remain in effect

12. Changes to Terms

We may update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms are governed by the laws of the Czech Republic and the European Union, without regard to conflict of law principles.

3. Courts in Prague, Czech Republic (as last resort)

13.3 EU Users

If you are an EU consumer, you have additional rights under EU consumer protection laws.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and trade & tonic.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any right does not waive that right.

14.4 Assignment

You may not assign these Terms. We may assign our rights and obligations to a successor entity.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, etc.).
